- These Engineer Terms form part of the terms of working with ITARMI and using the Podion Platform. Please read these terms together with the
- 1.2. Digital acceptance of terms:
- By registering for or using the Podion App, you acknowledge and agree that your digital acceptance constitutes your binding agreement to these Engineer Terms and all other incorporated documents (including those accessible via hyperlink), such as the Master Terms, Non-Disclosure Agreement (NDA), Welcome Book & Payment Terms, Onboarding Guide, Engineers Preparation Checklist and Site Conditions for Contractors.
- 1.3. Non-Disclosure Agreement (Digital Acceptance Clause):
- 1.3.1. Incorporation by Reference: By registering for or using the Podion App, you acknowledge and agree that the Non-Disclosure Agreement (NDA)—available via the hyperlink provided during registration in the Engineer Terms and Conditions document — forms part of these Terms and Conditions and is legally binding upon you.
- 1.3.2. Review and Acceptance Period: You are granted seven (7) days from date of registration on the Podion App to review these Terms and related documents. If you do not raise any objections or queries within this period and proceed to accept these Terms, it will be deemed that you have read, understood, and agreed to these Terms in full.
- 1.3.3. Electronic Consent and Record Keeping: Your electronic acceptance of these Terms, including the NDA, constitutes your binding agreement under applicable electronic signature laws. Itarmi will maintain secure, timestamped records of your acceptance for audit and compliance purposes.
- 1.4. Updates:
- If we need to update these terms, we will notify of material changes. You may need to accept the updated terms before receiving new Assignment offers.

- 1.1. These terms:
- ASSIGNMENTS
- 2.1. Assignment terms. You agree that when you accept an Assignment:
- 2.1.1. you enter a contract for services with us (not the Customer) for that Assignment;
- 2.1.2. you and we have no binding contract in any period between Assignments;
- 2.1.3. you accept the Assignment set out in the Podion App, including the fee, location, duration, start time and scope of work.
- 2.2. No promise of Assignments. You agree that:
- 2.2.1. we are not obliged to offer, and you are not obliged to accept, any Assignment or minimum number of Assignments; and
- 2.2.2. we may terminate your access to the Podion app at any time without notice or liability (except amounts we already owe you).
- 2.3. Reviews and milestones. You agree that:
- 2.3.1. you will, at your own cost, fully co-operate with any interim or final review of an Assignment (whether the review is carried out by us or the Customer); and
- 2.3.2. Assignment fees may be conditional on satisfying any applicable performance conditions, milestones, benchmarks, or Customer acceptance tests.
- 2.4. Remedial work:
- You agree that if we notify you within six (6) months of completing an Assignment that your work did not meet agreed specifications or customary industry standards, you will, at your own cost, promptly carry out any necessary remedial work at a reasonably agreed time.
- 2.5. Updated Assignment.
- You agree that we may revise, cancel, or terminate an Assignment at any time without notice or liability (except as expressly set out in our payment policies).
- 2.1. Assignment terms. You agree that when you accept an Assignment:

- 3.1. Independence. You agree that you:
- 3.1.1. do not have authority to bind us or any Customer to any contract, liability or obligation;
- 3.1.2. will not hold yourself out as our or any Customer’s employee.
- 3.2. Professional expertise:
- You agree that you will only accept an Assignment if you have the qualifications, skills, and experience necessary to carry out the Assignment to the applicable industry, safety, and legal standards and according to the Assignment specifications.
- 3.3. Your profile:
- You confirm that the information and documents you have provided to us are valid, correct, and complete (including personal identity, right to work, expertise and certifications). You agree to keep your information fully up to date on an ongoing basis.
- 3.4. Training:
- You are responsible, at your own cost, for ensuring that you have and maintain any professional qualifications and training required for you to carry out Assignments you accept.
- 3.5. Equipment:
- You are responsible, at your own cost and risk, for providing equipment and materials required to complete each Assignment, unless we expressly agree in writing to the contrary.
- 3.6. Insurance:
- You will, at your own cost, maintain in force insurance with reputable insurers that covers third party losses and claims up to a reasonable amount proportionate to the scope and value of your assignments, but no less that one hundred thousand (100,000) to cover potential losses arising from your Assignments.

- 4.1. Escalation contact:
- You agree to contact us as soon as possible about any material service delivery issue via the Podion App or by e-mail.
- 4.2. Stopping an Assignment:
- You must stop work on an Assignment if we or the Customer asks you to do so. You should contact us immediately if we have not already contacted you. You agree to provide us all assistance and information that we require to review the circumstances and reasons for the Assignment being stopped.
